Welcome to Apex Invest AI. By accessing our website, utilizing our Agentic Automation tools, or engaging our advisory services, you agree to be bound by the following Terms and Conditions.

1. Nature of Services
Apex Invest AI provides AI-driven financial analysis, workflow automation, and strategic advisory. Our "Agentic" outputs (including but not limited to Exit Readiness Reports, Credit Spreads, and Valuations) are generated through proprietary algorithms and large language models. These outputs are intended for informational and advisory purposes and do not constitute legal, tax, or investment advice.

2. "Human-in-the-Loop" Disclaimer
While our Agentic Automation utilizes state-of-the-art technology to ensure precision, all automated outputs should be reviewed by a qualified professional. Apex Invest AI maintains a "Human-in-the-Loop" protocol for all formal mandates; however, the final decision-making authority and responsibility for any transaction rest solely with the Client.

3. Intellectual Property
Firm Property: All algorithms, proprietary workflows, Agentic architectures, and website content are the exclusive property of Apex Invest AI.

Client Property: Any proprietary financial data or documents uploaded by the Client remain the property of the Client. Apex Invest AI is granted a limited license to process this data solely for the fulfillment of the requested service.

4. Accuracy of Information
The quality of our Agentic analysis is dependent on the accuracy of the data provided. Apex Invest AI is not responsible for errors, omissions, or incorrect valuations resulting from inaccurate, incomplete, or fraudulent information provided by the User or third-party data sources.

5. Limitation of Liability
To the maximum extent permitted by Canadian law, Apex Invest AI shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or deal failure) arising from the use of our automated tools or reliance on Agentic outputs. Our total liability is limited to the fees paid by the Client for the specific service in question.

6. Data Usage and Security
Usage of the platform is subject to our Privacy Policy. Users are prohibited from attempting to "reverse engineer" our agents, bypass security protocols, or use our tools for any fraudulent or illegal activity, including market manipulation.

7. Governing Law
These Terms and Conditions are governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes arising from these terms shall be resolved in the courts of the Judicial District of Ontario.

8. Modifications
We reserve the right to modify these terms at any time. Continued use of the platform after changes are posted constitutes acceptance of the new terms.
